Terms of Service

The licence you buy, what the AMC covers, what the source code handover permits, and where our responsibility ends.

These terms apply when you purchase Shinka Dry Cleaner POS, in either deployment, and to any maintenance contract taken alongside it. A signed quotation or paid invoice constitutes acceptance.

1. Licence granted

On receipt of full payment you receive a perpetual, non-exclusive licence to use the software for your own business.

• Offline Software (₹10,000) — one installation, on one computer, at one shop location.
• Web Platform (₹50,000) — one deployment for your business, with unlimited branches and staff accounts under it.

The licence cannot be resold, sublicensed or transferred to another business without our written consent. Additional locations or additional offline installations require additional licences.

2. Source code handover

The web platform includes handover of the application source code (NestJS, ReactJS, PostgreSQL). You may modify it, host it where you like and engage any developer to work on it.

You may not redistribute, resell, publish or license the codebase, in whole or in substantial part, as a product or service to third parties. Modifying the code ends our obligation to support the modified portions; we will still support an unmodified deployment under AMC.

3. Delivery and setup

Offline installations are normally completed the same working day. Web deployments typically go live within two to four working days of receiving your server access, service catalog and branch details. Free setup includes installation, configuration of your catalog and branches, one Excel data import of up to 5,000 rows, and one staff training session.

4. Payment terms

All prices exclude GST, charged at the prevailing rate. The offline build is payable in full before installation. The web platform is payable 50% on order and 50% at go-live. AMC is billed monthly or annually in advance. Add-on work is quoted and approved in writing before it starts.

5. AMC scope

An active AMC covers bug fixes, minor configuration changes, hosting assistance and server management (web plan), with priority support on WhatsApp and email available as an optional add-on for additional charges.

It does not cover new modules or features, third-party licence or hosting costs, hardware, printers, internet or power at your premises, or issues caused by changes made by your own developers. AMC may be cancelled by either party with 30 days' notice; the licence is unaffected.

6. Your responsibilities

• Keeping login credentials confidential and assigning roles appropriately
• Maintaining your own backups, and hosting, if you are not on an AMC
• The accuracy of prices, taxes and customer data entered into the system
• Compliance with GST and any other regulation applicable to your business

7. Warranty and liability

We warrant that the software will perform substantially as demonstrated for 90 days after go-live, and we will fix defects reported in that period at no charge. Beyond that, the software is provided as is.

Our total liability under any claim is limited to the licence fee you paid. We are not liable for lost profits, lost data where backups were your responsibility, or consequential business losses.

8. Term, termination and disputes

The licence is perpetual and survives the end of any AMC. We may suspend support for unpaid invoices. These terms are governed by Indian law, and disputes fall under the jurisdiction of the courts at our registered place of business. Refunds are handled under the Refund Policy.
